Sunbiz Reform Law Aims to Prevent Unauthorized Changes to Florida Business Records
Florida has taken a decisive step toward tightening the security of its corporate records system with the passage of new legislation aimed at protecting businesses from fraud. Signed into law by Governor Ron DeSantis, the measure—commonly referred to as the “Sunbiz bill”—introduces stronger safeguards for Florida’s official business registry, Sunbiz.org.
Operated by the Florida Department of State’s Division of Corporations, Sunbiz.org serves as the central platform for business filings and record management. Until now, the system allowed users to make changes to company information without robust identity verification. While fraudulent activity was already classified as a felony, the lack of preventative controls created vulnerabilities that bad actors could exploit.
The new law directly addresses those gaps by authorizing the Department of State to implement enhanced security protocols. These include password-protected access for registered business accounts and identity verification requirements for individuals submitting changes to official records. The objective is to ensure that only authorized parties can alter sensitive business information, reducing the risk of unauthorized takeovers or fraudulent filings.
The legislation was introduced by State Representative Fiona McFarland following investigative reporting that uncovered a high-profile fraud case in Sarasota County. In that instance, an individual allegedly manipulated business records to gain control of a real estate company and secure over $1 million in loans. The case exposed systemic weaknesses and helped build momentum for reform. The bill ultimately received bipartisan backing, with State Senator Erin Grall sponsoring the measure in the Senate.
Law enforcement officials later arrested the suspect tied to the scheme after a multi-month investigation, though much of the stolen funds had already been depleted. Incidents like this underscored the urgency of strengthening protections within the state’s business infrastructure.
With the “Sunbiz bill” now enacted, Florida is moving toward a more secure and accountable system for managing corporate records. By introducing authentication measures and restricting unauthorized access, the state aims to restore confidence among business owners and reduce the likelihood of similar fraud cases in the future.
